These Terms & Conditions (“Agreement”) govern participation in the ADD-Venture.co Marketplace and Catalog program, operated by Add-Venture Classifieds Ltd. (“ADD-Venture,” “we,” “us,” or “our”). By registering as a Vendor, you (“Vendor,” “you,” or “your”), you agree to comply with this Agreement.
This Agreement applies to all vendors, including registered businesses and individual/casual sellers.
1. Vendor Registration & Membership
• Vendors must provide accurate and complete information during registration (company details if applicable, or full legal name for individuals).
• Membership grants access to the ADD-Venture Catalog and the ability to list products for sale on the Platform.
• Approval of vendor applications is at ADD-Venture’s discretion. We may refuse, suspend, or revoke membership at any time.
• Vendors must be at least 18 years old or the age of majority in their jurisdiction to register.
2. Individual / Casual Sellers
• Individuals without a registered business may sell on the Platform as long as they provide accurate personal details (name, address, contact information, and ID if requested).
• Individual sellers are legally responsible for their products and conduct, the same as registered businesses.
• By joining, individual sellers acknowledge they are the “seller of record” for any items they upload.
3. Use of ADD-Venture Catalog (Print-on-Demand)
• Vendors may promote and resell items from the ADD-Venture Catalog as permitted under their membership.
• All Catalog items are produced and fulfilled via print-on-demand (“POD”) services connected to ADD-Venture’s account.
• Vendors do not maintain separate POD accounts and may not bypass ADD-Venture’s fulfillment system.
• Production, packaging, and shipping are managed through ADD-Venture’s POD partners.
• Vendors are responsible for ensuring any custom artwork, text, or designs they submit comply with our content guidelines and intellectual property laws.
• All Catalog products remain the intellectual property of ADD-Venture and/or its partners. Vendors may not rebrand, white-label, or misrepresent Catalog items as their own original designs outside the Platform.
• Any resale, marketing, or promotion of Catalog items must follow ADD-Venture’s brand guidelines and quality standards.
4. Vendor’s Own Products
• Vendors may upload and sell their own approved items through the Platform.
• Vendors are responsible for ensuring product listings are accurate (descriptions, pricing, images, inventory).
• Vendors warrant that their products are safe, legal, and compliant with consumer protection laws and industry standards.
• Vendors may only list items that align with the ADD-Venture community and brand, including but not limited to:
o Adventure gear and equipment (indoor or outdoor).
o Souvenirs and gifts related to travel, tourism, and experiences.
o Custom or themed merchandise tied to adventure, exploration, or lifestyle.
• Prohibited items include unrelated generic goods (appliances, random fashion, electronics) or anything unsafe, counterfeit, or illegal.
• ADD-Venture reserves the right to reject, suspend, or remove any product at our discretion.
• Vendors warrant that all items are genuine, accurately described, and that they have full rights to sell them. ADD-Venture may request supporting documentation (proof of authenticity, safety certification, or licensing) at any time, and Vendors must provide such documentation within 5 business days.
5. Commissions & Payouts
• ADD-Venture charges a 15% commission on all completed sales made through the Platform.
• Vendor payouts are issued on a bi-weekly schedule (every 14 days).
• Vendors must have a minimum balance of $20 USD (or equivalent) to receive a payout. Balances under this threshold will automatically roll over to the next cycle.
• Payouts are made via connected payment processors such as Stripe, PayPal, or bank transfer. Vendors are responsible for providing accurate payout details and completing all required verification steps.
• Standard transaction fees charged by payment processors (e.g., Stripe, PayPal) are automatically deducted in addition to ADD-Venture’s commission. ADD-Venture does not charge extra payout fees.
• New vendors (first 60 days) and vendors flagged as high-risk may be subject to a rolling reserve of up to 30% of sales, held for 30 days to cover refunds, chargebacks, or disputes. Once a vendor demonstrates a positive sales history, the reserve will be removed at ADD-Venture’s discretion.
• Payouts may be delayed or withheld in cases of disputes, chargebacks, fraudulent activity, policy violations, or failure to fulfill orders until the matter is resolved.
• Upon account closure or termination, any eligible remaining balance will be paid out after deducting applicable commissions, fees, refunds, or reserve amounts.
• Vendors are solely responsible for reporting and remitting all applicable taxes, duties, and regulatory filings in their jurisdiction.
• Orders under dispute, flagged as fraudulent, or subject to chargeback may be withheld until resolved.
• If a Vendor fails to fulfill outstanding orders, ADD-Venture may refund customers directly and deduct associated costs from the Vendor’s payout balance.
• ADD-Venture reserves the right to offset any amounts owed by a Vendor (including refunds, chargebacks, or unpaid fees) against current or future payouts.
Final Settlement
• Upon account closure or termination, any eligible remaining balance will be paid out after deducting applicable commissions, fees, refunds, or reserve amounts.
• Vendors remain responsible for any unpaid obligations to ADD-Venture even after termination.
• ADD-Venture reserves the right to adjust commission rates with 30 days’ written notice to Vendors.
Inactive Vendor accounts with unclaimed balances for more than 12 months may be closed. Any remaining balances will either be returned to the Vendor or handled in accordance with applicable unclaimed property laws.
6. Order Fulfillment & Shipping
• Vendors are responsible for fulfillment of their own products, including packaging, shipping, and handling returns.
• POD Catalog items will be fulfilled through ADD-Venture’s POD partners. ADD-Venture manages production and logistics for Catalog sales.
• Vendors must provide accurate shipping information and update order statuses promptly.
• Vendors must respond to customer service inquiries within 3 business days to ensure a consistent buyer experience.
7. Returns, Refunds & Disputes
• Vendors must honor ADD-Venture’s customer return and refund policy for their own products.
• All altered, customized, and print-on-demand (POD) products are final sale and are not eligible for return or refund due to buyer’s remorse, incorrect sizing, or customization preferences.
• If a POD or customized product is defective (misprint, damage, incorrect item, or fulfillment error), ADD-Venture will coordinate with the POD provider to arrange a replacement or refund.
• ADD-Venture acts as the platform facilitator and is not the manufacturer of POD items. Responsibility for POD product defects rests with the POD provider.
• Vendors remain responsible for handling refunds, exchanges, and disputes related to their own independently uploaded products.
• ADD-Venture may intervene and issue refunds directly to customers, with associated costs deducted from vendor payouts.
8. Intellectual Property, Branding & Theme Alignment
• Vendors may only upload content, designs, and products that they have the legal right to sell. Any infringement of copyright, trademarks, or third-party rights is strictly prohibited.
• Vendors grant ADD-Venture a non-exclusive, royalty-free, worldwide license to use their product images, descriptions, logos, and branding materials for the purposes of operating, marketing, and promoting the Platform.
• This license includes the right to feature vendor products and branding on social media, advertising campaigns, email marketing, print materials, and partner platforms, in addition to display within the ADD-Venture website and app.
• Vendors may withdraw permission for specific future uses by providing written notice, but ADD-Venture retains the right to continue using materials already published in past marketing.
• All products listed must align with ADD-Venture’s brand identity and community focus (adventure gear, souvenirs, gifts, lifestyle merchandise).
• Vendors may not upload or attempt to sell unrelated generic goods.
• Vendors may not misuse ADD-Venture’s name, trademarks, logos, or branding without prior written approval.
• All ADD-Venture Catalog materials (images, mockups, product descriptions, etc.) remain the property of ADD-Venture and may not be used outside the Platform.
9. Compliance & Legal Obligations
• Vendors are solely responsible for ensuring their products and business practices comply with all applicable laws, including consumer protection, labeling, tax, import/export, and e-commerce regulations.
• Vendors must handle tax reporting and remittance in their respective jurisdictions. ADD-Venture is not responsible for vendor tax obligations.
• Vendors must not sell prohibited, counterfeit, or unsafe products.
10. Insurance & Liability

Print-on-Demand Products (Catalog)
o ADD-Venture and its POD partners are responsible for POD manufacturing defects. In such cases, replacements or refunds will be arranged.
o Vendors reselling Catalog items are not liable for POD production defects but are responsible for lawful use of designs and proper promotion of products. -
Vendor’s Own Products
o Vendors are solely responsible for the safety, legality, and quality of their own products.
o Vendors must maintain any required insurance coverage for their items. -
Designs & Content
o Vendors are fully liable for intellectual property rights associated with their uploads.
o ADD-Venture assumes no liability for design or content infringement. Vendors agree to indemnify and hold harmless ADD-Venture against any claims.
o In addition, Vendors agree to indemnify and hold harmless ADD-Venture, its officers, directors, and employees from any claims, damages, or liabilities arising out of (i) Vendor’s products, (ii) Vendor’s conduct, or (iii) Vendor’s use of the Platform. -
Platform Liability
o ADD-Venture operates as a marketplace and facilitator. We are not liable for vendor errors, defective vendor products, or misrepresentations.
o ADD-Venture maintains business and product liability insurance for its operations but does not extend individual coverage to vendors.
o Vendors remain responsible for compliance with payment processor requirements (Stripe, PayPal, etc.), and any disputes, holds, or fees imposed by such services are the responsibility of the Vendor.
11. Termination
• Vendors may close their account and stop selling on the Platform at any time, provided that they fulfill all outstanding orders before leaving.
• ADD-Venture may suspend or terminate vendor accounts immediately in cases of violations of this Agreement, fraud, harmful conduct, or failure to fulfill obligations.
• Upon termination, vendors lose access to their vendor dashboard, the Catalog, and all related platform features.
• Any unpaid balances, refunds, chargebacks, or fees owed to ADD-Venture at the time of termination remain the responsibility of the Vendor.
• If a Vendor fails to fulfill outstanding orders, ADD-Venture may refund customers directly and deduct related costs from the Vendor’s payout balance.
• The obligations relating to intellectual property, liability, indemnification, compliance with laws, and data protection will survive termination and continue to apply after the Vendor’s account is closed.
12. Modifications
• ADD-Venture may update these Terms & Conditions at any time. Vendors will be notified of significant changes, and continued participation constitutes acceptance.
13. Governing Law & Dispute Resolution
• This Agreement is governed by the laws of Canada and applicable U.S. federal laws, without regard to conflict of law principles.
• Any dispute arising under this Agreement shall first be attempted to be resolved through good faith negotiation between the parties.
• If unresolved, disputes shall be submitted to binding arbitration under Canadian Arbitration Association rules, unless both parties agree otherwise.
14. Prohibited Conduct
• Vendors must not attempt to divert customers away from ADD-Venture to external sites or transactions.
• Vendors must not engage in spammy, misleading, or unethical marketing practices.
• Vendors must not upload offensive, discriminatory, or harmful content (hate speech, explicit imagery, violent material, etc.).
• Vendors must not interfere with the operation of the Platform, misuse systems, or exploit bugs/loopholes.
15. Data Protection & Customer Privacy
• Vendors may only use customer information obtained through the Platform for order fulfillment and customer service directly related to those orders.
• Vendors may not store, share, or use customer data for outside marketing, contact, or unrelated purposes.
• Vendors must comply with all applicable privacy and data protection laws (including GDPR, CCPA, or local equivalents).
16. Force Majeure
• ADD-Venture shall not be liable or deemed in breach of this Agreement for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of God, strikes, labor disputes, government actions, internet or telecommunications outages, or other force majeure events.
17. Account Security
• Vendors are responsible for maintaining the confidentiality of their account credentials. Vendors must not share login details with third parties and must immediately notify ADD-Venture of any unauthorized use of their account.
18. Independent Contractor Relationship
• Vendors are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between ADD-Venture and Vendors. Vendors have no authority to bind ADD-Venture.
19. Severability
• If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
